Welcome to Sabba! Sabba Collective Inc. (“Sabba”, “we”, “us” or “our”) is a Delaware Public Benefit Corporation headquartered in New York, NY. Our mission is to serve as an AI-native ecosystem platform for providers of frontier mental health, starting with psychedelic-assisted therapy. We are committed to being an ethical steward in the psychedelic and mental health communities. These Terms and Conditions (“Terms”) govern your access to and use of the Sabba platform (including our website at sabba.com and any related services, collectively the “Services”). By accessing or using our Services, you (“you” or “User”) agree to be bound by these Terms.

1. Acceptance of Terms

1.1. Agreement: By creating an account or otherwise using the Services, you acknowledge that you have read, understood, and agree to these Terms and to our Privacy Policy (which explains how we handle your personal data). These Terms apply to all users, including individual community members and users acting as administrators on behalf of an organization (such as a university, nonprofit, or company). If you are using Sabba on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and you agree to these Terms both individually and on behalf of that organization.

1.2. Changes to Terms: Sabba may modify these Terms from time to time to reflect changes in our Services (for example, if we introduce new features or future paid services) or for other operational, legal, or regulatory reasons. We will provide notice of material changes (e.g., by posting the updated Terms on our site and updating the “Last Updated” date above, or by email notification). Continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the Services.

2. Eligibility and Account Registration

2.1. Minimum Age: You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) to use the Services. By accessing or using Sabba, you represent and warrant that you meet this minimum age requirement. Sabba is not intended for use by individuals under 18; if you are under 18, do not use or access the platform.

2.2. Account Setup: To access certain features, you may need to create an account. When you register, you agree to provide accurate and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you suspect any unauthorized use of your account, you must notify us promptly.

2.3. Organizational Accounts: Organizations (such as companies, universities, nonprofits) may have accounts or have profiles on Sabba. An “Organizational User” is an individual authorized to act on behalf of an organization on the platform (an admin of an organizational account). If you create or manage an account as an Organizational User, you must ensure you have the authority to do so and that all content and interactions from that account comply with these Terms. The organization assumes responsibility for the actions of its authorized users on the platform, and must ensure that its administrators and members abide by these Terms and any additional guidelines.

3. User Conduct and Community Guidelines

Sabba is a community dedicated to mental health and psychedelic-assisted therapy. We strive to maintain a safe, respectful, and lawful community. By using the Services, you agree to the following:

3.1. Compliance with Laws: You will use Sabba only for lawful purposes. You must not post or share content that violates any applicable law or regulation. In particular, given the nature of our community, do not use the platform to promote or engage in illegal activity (for example, the illegal use or distribution of controlled substances) or any activity that violates professional regulations in mental health care.

3.2. Respectful Behavior: You will treat other users with respect. Do not harass, threaten, bully, or impersonate others, and do not incite hatred or violence. Content that is defamatory, obscene, pornographic, discriminatory, or otherwise offensive or harmful is strictly prohibited. Sabba reserves the right to remove or moderate content that violates these standards or that we deem not in line with our community values and mission.

3.3. No Spam or Malicious Activity: You will not use the platform for unauthorized advertising or junk messaging (no spam). You also agree not to introduce any malware, viruses, or harmful code, or to attempt to disrupt or gain unauthorized access to any part of the Services or its related systems.

3.4. Quality of Discourse: Sabba’s platform includes features like user profiles, commenting, posts, and dedicated communities (e.g., UPEP). You are responsible for the content you post in these areas. Keep discussions on-topic and constructive, especially in dedicated community spaces. We may have additional community guidelines or codes of conduct for specific communities or programs, and by participating, you agree to follow those as well.

Sabba may monitor interactions and content on the platform to ensure compliance with these rules and our mission. Violations may result in content removal, account suspension, or other appropriate action, as detailed in Section 11 (Termination).

4. User Content and Intellectual Property Rights

Sabba enables users and organizations to post content—such as text, documents, images, videos, comments, and other materials (“User Content”). You retain ownership of the intellectual property in the content you create and share. Sabba does not claim ownership but requires certain rights to operate the platform.

4.1. Your Responsibilities: By posting content, you confirm that:

License to Sabba: You grant Sabba a global, royalty-free, non-exclusive license to use, host, modify, display, and distribute your content for the purpose of operating and improving the platform. This includes generating AI-powered enhancements like transcripts, summaries, translations, and clips to support accessibility and learning.

4.3. Ownership of Derivatives: You retain ownership of your original content. Sabba retains rights to platform-generated derivative works, but only while the original content remains active. If you delete your content or account, any related derivatives will also be removed within a reasonable time, except where retention is legally required or technically necessary (e.g., backups or content quoted by others).

5. Organizational Use and Participation

Sabba supports use by individuals and organizations such as universities, nonprofits, and companies. If you act on behalf of an organization, or create or manage an organizational account, the following terms apply.

5.1. Authority and Responsibility: If you create or manage an organizational account, the organization is responsible for ensuring that all content posted and activities conducted under its account comply with these Terms. Organizational accounts may have multiple authorized users (admins or members). The organization must manage and promptly remove or update authorizations if individuals leave or no longer should post on its behalf. Any content posted via an organization’s account will be deemed to be authorized by that organization. The organization affirms that it holds any necessary rights (including copyrights or permissions) to content that its admins or members post, just as individual users do.

5.2. Organizational Features: Organizations may upload and share content, participate in directories, and engage in dedicated communities (e.g., UPEP). These features are subject to the same content responsibilities and license terms as individual accounts.

5.3. Public Recognition: By participating on Sabba, organizations consent to being listed or acknowledged publicly by Sabba as part of our community of partners or users. For instance, we may display a list of participating universities and organizations on our website or in promotional materials to highlight community involvement. If an organization prefers not to be publicly listed, it may opt out at any time by sending us an email request at support@sabba.ai.

5.4. UPEP Compatibility: If you are participating in the University Psychedelic Education Program (UPEP), these Terms are designed to be compatible with the participation agreement signed via the 1440 Foundation. If there is a direct conflict, the UPEP agreement takes precedence for matters specific to that program.

6. Privacy

Sabba is committed to protecting your personal information. Our data practices are governed by our Privacy Policy, which is incorporated into these Terms.

6.1. Consent to Data Use: By using the platform, you agree to the collection, use, and processing of your personal data as described in the Privacy Policy.

6.2. Global Data Transfers: You understand that your data may be transferred to and processed in the United States or other jurisdictions where Sabba or its service providers operate. We apply appropriate safeguards to protect your data in compliance with applicable laws.

6.3. GDPR and International Users: If you are located in the EU, UK, or another jurisdiction with strong data protection laws, Sabba complies with regulations such as GDPR. This includes your right to access, correct, delete, or restrict your personal data, and to withdraw consent where applicable.

7. Disclaimers

Sabba is a community platform, not a healthcare provider or clinical service. The content and features are for informational and educational purposes only.

7.1. No Professional, Medical or Legal Advice: Sabba is a platform for community discussion, content, and networking in the field of mental health and psychedelic-assisted therapy. However, Sabba is not a healthcare or medical provider, and the content on our platform (including posts, comments, and directory listings) is provided for informational and community purposes only. Nothing on Sabba should be considered medical, psychiatric, therapeutic, or legal advice. Always consult a qualified professional before making decisions related to health, treatment, or legal matters. If you are in crisis or need urgent help, contact emergency services or a crisis hotline; do not rely on Sabba for urgent needs.

7.2. Community Content: Sabba does not guarantee the accuracy, reliability, or validity of any User Content. Posts and contributions come from a wide range of users and organizations, and we do not pre-screen or verify every piece of information. We are not liable for any errors or omissions in content, or for any losses or damages incurred as a result of relying on content posted on Sabba. Use your discretion, discernment and critical thinking when applying any information from the platform to your own life or work. We encourage respectful debate and the sharing of knowledge, but opinions expressed by users do not necessarily reflect Sabba’s own views or endorsement.

7.3. No Guarantees: We do not guarantee the accuracy, completeness, or usefulness of any content, nor any particular outcome from using Sabba. Participation in the platform does not confer credentials, certification, or endorsement unless explicitly stated.

7.4. Services Provided “As Is”: Sabba is offered “as is” and “as available.” We make no warranties—express or implied—regarding the reliability, availability, or suitability of the platform for any purpose.

8. Limitation of Liability

To the fullest extent allowed by law, Sabba is not liable for any damages arising from your use of the platform.

8.1. No Indirect Damages: We are not responsible for indirect, incidental, consequential, special, or punitive damages—including lost profits, data, or goodwill—even if we were advised such damages were possible.

8.2. Platform Use Is at Your Own Risk: You use Sabba at your own risk. We are not liable for harm caused by user content, interactions with other users or organizations, or use of information shared on the platform.

8.3. Liability Cap: If Sabba is found liable for any claim, our total liability to you will not exceed $100 USD, or the total amount you’ve paid us (if any) in the last 12 months—whichever is greater.

8.4. Exceptions: Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. In such cases, liability is limited to the maximum extent allowed by law.

9. Indemnification

To protect the integrity of the platform and community, you agree to take responsibility if your actions create legal or financial risk for Sabba.

9.1. Your Commitment: You agree to defend, indemnify, and hold harmless Sabba and its officers, directors, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from:

10. Termination and Suspension

You can leave Sabba anytime. We can restrict or remove access when necessary to protect the platform or community.

10.1. By You: You may delete your account at any time through your settings or by contacting support@sabba.ai. This will end your access and remove your content from public view.

11. Governing Law and Disputes

11.1. Governing Law: These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules. This applies no matter where you use the platform.

11.2. Dispute Resolution: If a dispute arises, we encourage you to contact us at support@sabba.ai to try to resolve it informally and in good faith.

11.3. Jurisdiction: If a legal claim is necessary, you agree that it will be resolved exclusively in the state or federal courts located in New York, NY, unless local law requires otherwise.

12. Miscellaneous

12.1. Entire Agreement: These Terms, along with our Privacy Policy, form the complete agreement between you and Sabba regarding use of the platform. They replace any prior agreements.

12.2. Changes to Terms: We may update these Terms from time to time. If we make material changes, we’ll notify you (e.g., by email or on the platform). Continued use after changes means you accept the updated Terms.

12.3. Severability: If any part of these Terms is found to be unenforceable, the rest will remain in effect.

12.4. No Waiver: If we don’t enforce a part of these Terms, it doesn’t mean we waive our right to enforce it later.

12.5. Assignment: You may not assign these Terms without our written permission. We may assign them as part of a merger, acquisition, or change in control.
